Terms of Service
Last updated November 6, 2026
These Terms of Service ("Terms") are an agreement between you and NestEggo, Inc., a Delaware corporation ("NestEggo", "we", "us"). They govern your use of the NestEggo website at nesteggo.com and related services (the "Service"). By creating an account or using the Service, you agree to these Terms, our Community rules and our Privacy Policy. If you don't agree, don't use the Service.
1. Who can use NestEggo
- You must be at least 18 and able to form a binding contract.
- NestEggo is a business service, built for people who run or work for a business. If you use it on behalf of a company or other organization (a "brand"), you confirm you're authorized to act for it, and these Terms bind that brand as well as you.
- We may refuse, review or limit sign-ups, for example from disposable or personal email addresses or sign-ups that our anti-abuse checks score as risky, to keep the community verified.
- You can't use NestEggo if we've previously banned you, or if you're barred from receiving services under applicable law (including sanctions laws).
2. Your account
- Give accurate information (your real name, job title, work email and brand) and keep it current.
- One person, one account. Don't share your account or sign-in links.
- Keep your password secure. Contact us right away if you think someone else has used your account. You're responsible for activity on your account.
- You must confirm your email address before your account is activated. Unconfirmed accounts are deleted after 7 days.
3. Brands and teams
- Every member belongs to at least one brand. The person who adds a brand becomes its first brand admin. Colleagues who sign up with the same email domain ask to join, and a brand admin approves or declines them.
- Brand admins can give others the roles of brand admin, ad manager or content editor. Each role's permissions are described in our Help page.
- Brand admins are responsible for who they let into their brand and for what their team does on the brand's behalf, including buying tokens, placing ads and posting brand responses. A brand always has at least one brand admin.
- Tokens, payments and ads belong to the brand, not to any individual. If a member leaves or is removed, their access ends immediately, but ads they placed stay live and keep being billed to the brand until a brand admin or ad manager changes them.
- Adding a brand doesn't make you its owner or give you rights in its name or trademarks. If a brand is claimed by someone not authorized to represent it, the rightful owner can contact us and we may transfer or remove the brand.
4. Your content
You own it. You keep ownership of the chats, experiences, replies, brand responses, suggestions and other content you post ("your content").
Our license. By posting, you give NestEggo a worldwide, non-exclusive, royalty-free, transferable and sublicensable license to host, store, reproduce, display, adapt (for example, to format, excerpt or translate it), publish and distribute your content in connection with operating, promoting and improving the Service. This includes showing your content on chat pages, in feeds, previews, search results, share images, structured data read by search engines and AI assistants, and in our marketing. The license continues for content that others have replied to or that we keep for moderation and legal records after you delete it, but we won't publicly display content you've deleted, except as needed to show that a reply's parent was "[removed]".
Attribution. Your first name, job title, level and the brand you post as are shown with what you share. Chats you suggest are shown without your name.
Your promises. You confirm that your content:
- is your own firsthand experience, truthful and not misleading;
- discloses any relationship you have with what you discuss (see the Community rules);
- follows our Community rules, including no self-promotion, affiliate links or referral codes in free content;
- doesn't include anyone else's personal or confidential data without the right to share it;
- doesn't infringe anyone's intellectual property, privacy or other rights, and isn't illegal, defamatory, harassing, hateful or threatening.
Edits and history. You can edit or delete your content at any time. We show the latest version publicly and keep earlier versions and deleted content privately for moderation, safety and legal purposes, as described in our Privacy Policy.
Feedback. If you send us ideas or suggestions, we may use them without owing you anything.
5. Links
Links in chats, experiences and replies are shown as plain text, not clickable links. Clickable links appear only where we allow them, such as a brand's profile and a Brand promo (a paid, labeled offer). Those links go through a NestEggo redirect (/out/…) that records the click before sending you on, so we can report performance to the brand. Linked sites aren't controlled by us; we're not responsible for their content, products or privacy practices.
6. Acceptable use
Don't, and don't help anyone else to:
- break the law or our Community rules;
- post spam, run multiple or fake accounts, or manipulate votes, flags, levels or rankings;
- scrape, copy or harvest content or member data in bulk, except as allowed by our
robots.txtor with our written permission; - send unsolicited messages to members using information from NestEggo;
- probe, scan or test our systems for vulnerabilities, or bypass security, rate limits, CAPTCHAs or access controls (report security issues by submitting the web form);
- upload malware or interfere with the Service;
- try to manipulate our automated review tools, for example by hiding instructions in content;
- use the Service to build a competing product or train AI models, without our written permission;
- impersonate any person or brand, or misrepresent your affiliation.
7. Moderation and enforcement
- We may review, hide, edit (for example, remove a link) or remove content, and warn, suspend or ban accounts or brands, when we believe content or behavior breaks these Terms or our Community rules, or puts NestEggo, our members or others at risk. We don't have to monitor content, and we're not responsible for content members post.
- Our usual escalation for members is a warning, then a 7-day suspension, then a ban. Serious violations may lead straight to a ban.
- Content flagged by several members may be hidden automatically until a moderator reviews it.
- Where reasonable, we'll tell you what happened and how to appeal. You can appeal by contacting us; a person reviews appeals.
8. Automated and AI-assisted moderation
We use automated tools, including AI models from third-party providers, to help us:
- review suggested chats and cafes for spam, promotion, duplicates and unsafe content, and assign chats to cafes;
- check experiences for mentions of the author's own brands;
- review Brand promo content before it runs;
- understand search queries and summarize web pages you ask us to match.
These tools may publish content automatically, or send it to a person for review. They never ban or suspend an account on their own; a person makes those decisions. Automated tools can make mistakes. If you think one got something wrong, contact us. Our Privacy Policy explains what data these providers receive.
9. Paid placements and tokens
- Tokens. Brands buy tokens to pay for Brand promo and other paid features. Tokens belong to a brand, never to a person. Prices, plans and what each token buys are shown on our Pricing page and at checkout. Only brand admins can buy tokens; brand admins and ad managers can spend them.
- Sign-up bonus tokens. Each brand receives sign-up bonus tokens once (one grant per brand). They follow the same rules as purchased tokens, have no cash value and are not refundable.
- No cash value. Tokens are a prepaid license to use paid features. They have no cash value, aren't money or property, earn no interest, and can't be transferred between brands, resold or exchanged for cash.
- Expiry. Tokens expire one year after the purchase that credited them, unless the purchase terms say otherwise or the law requires a longer period. Except as section 15 says or where the law requires otherwise, tokens are non-refundable. We use the soonest-expiring tokens first.
- Plans and renewal. Recurring plans renew automatically each period and credit tokens on each successful charge until you cancel. You can cancel or change your plan any time from Payments & tokens; cancellation takes effect at the end of the current period. We'll remind you before renewals as the law requires.
- Brand promo. Brand promo is charged in tokens per month, starting when you buy it. If the brand doesn't have enough tokens at renewal, its placements are paused until tokens are added. A downgrade takes effect at the next renewal.
- Taxes. Prices exclude taxes unless stated. You're responsible for applicable taxes.
- Payment. Payments are processed by Stripe. You authorize us and Stripe to charge the payment method you provide, including for renewals. Larger plans may be paid by invoice or ACH by arrangement.
- Failed payments. If a charge fails, no tokens are credited; we'll tell you and you can retry.
- Changes to prices. We may change prices for future purchases. We announce every pricing change with an effective date. Changes don't affect tokens you've already bought, and we'll give notice before a change applies to a recurring plan.
- Ad content. Brand promo is always labeled as paid. Ad content must be accurate, lawful and relevant to the chat; it must follow these Terms and the Community rules, and may be reviewed (including by automated tools) and rejected or removed. We don't guarantee any number of impressions, clicks or results.
- Your responsibility. The brand is responsible for its ads, landing pages and claims, and for complying with advertising, consumer-protection and privacy laws.
10. Customer invitations
Brands can invite their customers to share an experience. When you ask us to send an invitation for you, you confirm that you have the right to contact that person and to give us their name and email for that purpose. You must not offer the person payment or perks in exchange for an experience, or ask only for a positive one.
11. Intellectual property
The Service, including our software, design, logos and the NestEggo name, belongs to NestEggo and its licensors. We give you a limited, revocable, non-exclusive, non-transferable license to use the Service as these Terms allow. Brands give us permission to display their name, logo and website on the Service and, for brands with members, in our marketing as a member brand.
Copyright complaints. If you believe content on NestEggo infringes your copyright, send a notice to our designated agent: NestEggo Compliance Department, 447 Sutter St Ste 405 PMB1104, San Francisco, CA 94108; phone 650-503-3446; email dmca-agent at nesteggo dot com. Include the information required by 17 U.S.C. § 512(c)(3). We remove infringing content and terminate repeat infringers' accounts in appropriate circumstances.
12. Disclaimers
Experiences shared on NestEggo are members' own opinions, not professional advice, and we don't verify them. Brand claims in paid placements are the brand's own. Verification of members' email domains doesn't mean we endorse them or their brand.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, TO THE FULLEST EXTENT THE LAW ALLOWS. We don't promise the Service will be uninterrupted, error-free or secure, or that content is accurate.
13. Limitation of liability
TO THE FULLEST EXTENT THE LAW ALLOWS, NESTEGGO AND ITS AFFILIATES, OFFICERS, EMPLOYEES AND SUPPLIERS ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL OR DATA, ARISING FROM OR RELATED TO THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS IS LIMITED TO THE GREATER OF THE AMOUNT YOU (OR YOUR BRAND) PAID US IN THE 12 MONTHS BEFORE THE CLAIM AND US $100. Some jurisdictions don't allow some of these limits, so they may not apply to you.
14. Indemnity
You (and your brand, if you act for one) will defend and indemnify NestEggo against third-party claims, losses and costs (including reasonable legal fees) arising from your content, your ads and landing pages, your use of the Service, or your breach of these Terms or the law.
15. Suspension and termination
- You can stop using NestEggo at any time and delete your account from your Account settings. A brand admin can't delete a brand while other members or active ads depend on it; contact us to close a brand.
- We may suspend or terminate your account or a brand's access if you breach these Terms, if required by law, or to protect the Service or others. Where reasonable, we'll give notice.
- If we terminate a brand's access without cause, we'll refund the paid value of unused, unexpired tokens; bonus tokens, including sign-up and offer bonus tokens, have no paid value. If we terminate for breach, unused tokens are forfeited.
- Sections that by their nature should survive (including content license for retained content, payment obligations, disclaimers, liability, indemnity and disputes) survive termination.
16. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in San Francisco County, California. Before filing a claim, each party agrees to try to resolve the dispute informally for 30 days by writing to the other.
17. Changes
We may change the Service and these Terms. If a change to these Terms is material, we'll give at least 14 days' notice by email or on the site before it takes effect. Continuing to use NestEggo after that means you accept the updated Terms. The "Last updated" date shows the current version.
18. General
These Terms, the Community rules, the Privacy Policy and any purchase terms shown at checkout are the whole agreement between you and us about the Service. If a provision is unenforceable, the rest stays in effect. Our not enforcing a provision isn't a waiver. You can't assign these Terms without our consent; we may assign them in a merger, acquisition or sale of assets. We're not liable for delays caused by events beyond our reasonable control.
